VIS Reaffirms Corporate Governance Rating of Pak Oman Investment Company Limited

Karachi, August 28, 2025: VIS Credit Rating Company Limited (VIS) has reaffirmed the Corporate Governance Rating (CGR) of Pak Oman Investment Company Limited (‘POIC’ or ‘the DFI’) at ‘CGR-9+’. Rating of ‘CGR-9+’ denotes a very high level of corporate governance. The previous rating action was announced on September 11, 2024.

The assigned rating incorporates POIC’s sound governance framework supported by a well-defined ownership structure, active board and management oversight, and adherence to regulatory requirements. The Board of Directors comprises experienced professionals nominated in accordance with the joint venture between the Government of Pakistan, represented by the Ministry of Finance (MoF), and the Sultanate of Oman, represented by the Oman Investment Authority (OIA). Four board-level committees—Audit, Risk, Executive, and Remuneration—are operational with clearly defined mandates. Attendance and participation levels remained satisfactory. All sitting members have completed the mandatory Directors Training Program; the newly joined Director will complete in due course and internal board evaluations were conducted during the review period.

Management-level functions are structured with defined roles, supported by succession planning in key areas. The risk management framework continues to evolve, with progress made in automation of risk assessment tools and the implementation of a centralized risk system. Internal audit and compliance frameworks remain adequate, with periodic reviews and structured reporting to the Board Risk and Audit Committees.

In line with ESG implementation directives issued by the State Bank of Pakistan, POIC has adopted sustainability-focused practices. These include a transition toward a paperless environment through digitization and development of systems such as the Loan Origination System (LOS) and a digital documentation platform. Overall, the DFI maintains satisfactory financial and qualitative disclosure levels.
